Andrew J. Schaffer focuses his practice on financial services regulation, including investment management and financial technology innovations. He has significant experience advising entities that are developing businesses involved in the cryptocurrency and blockchain spaces.  He consults with digital asset businesses, especially with regard to securities law issues. In addition, he advises individuals and funds investing in blockchain companies and digital assets directly, as well as entities using the blockchain to underpin a variety of uses. He has experience helping clients structure digital asset-related offerings to comply with the securities laws and create funds and other vehicles that allow those investments.

He advises U.S. registered investment companies and their investment advisers on a wide variety of regulatory, compliance and corporate matters, including the development, structuring and launch of new funds, fund reorganizations, and regulatory and compliance matters relating to existing funds. He represents a wide variety of market participants in connection with exchange-traded products, as well as non-investment company exchange-traded vehicles. 

In addition, Mr. Schaffer regularly advises boards of directors/trustees of U.S. registered investment companies on fund governance and fiduciary oversight matters, including director/trustee independence and regulatory examinations as well as clients in connection with examinations by and requests for exemptive relief from the Securities and Exchange Commission.

He counsels sponsors and advisers to private funds with respect to regulatory obligations, including relevant exclusions or exemptions, under the Investment Advisers Act and other relevant securities laws. He also advises on structuring and transactional issues and prepares organizational and disclosure documents for private offerings of securities, including digital asset securities.

Mr. Schaffer has authored numerous articles regarding virtual currencies, strategies to raise funds for digital currencies (initial coin offerings) and the FinTech industry. Prior to joining Dechert, Mr. Schaffer had a judicial externship with the United States District Court for the Eastern District of California.
