Corporate Team Advises Quest Diagnostics on Series of Transactions

In October 2022, Dechert’s corporate team advised Quest Diagnostics on its definitive agreement to acquire select assets of Summa Health’s outreach laboratory services business, the latest in a series of transactions for the client. Since 2020, partner Michael Darby and the corporate team have advised Quest on five acquisitions and one sale aimed at improving its customers’ access to innovative, quality and cost-effective laboratory services: Memorial Hermann Diagnostic Laboratories, Mercy, Labtech Diagnostics, Pack Health, Q2 Solutions and Summa Health.
“Quest is on a mission to expand access to quality laboratory and diagnostics services in order to support affordable care for communities,” said Darby. “We are proud to have worked alongside Quest on several transactions in pursuit of this goal.”
Under the Summa Health agreement, Quest's laboratories in Summit County, Ohio and Pittsburgh will provide testing for physicians and patients serviced by LabCare Plus. The all-cash transaction will be completed in the fourth quarter of 2022, subject to customary regulatory approvals. Financial details of the transaction were not disclosed.
