Dechert Advises Generali Investments on Merger with Generali Investments Deutschland
Dechert LLP advised Italian Generali Investments, the main Generali Group asset manager, on its cross border merger with the German Generali Investments Deutschland in order to streamline its global asset management operations. This move simultaneously leverages the regulatory changes of the European Union’s UCITS and AIFM directives that allow the cross border management of UCITS and alternative investment funds across Europe. The merger went into effect at the start of June 2016. This challenging transaction required multijurisdictional and multidisciplinary advice and was heavily driven by regulatory requirements and boundaries both in Italy and Germany.
The Dechert team representing Generali was led by Munich-based financial services partner Angelo Lercara. The German cross-practice team included partner Dr. Martin Haisch (Tax, Frankfurt); national partner Dr. Katja Heuterkes (Corporate, Munich); national partner Dr. Olaf Fasshauer (Employment, Munich); associates Oliver Decker (Financial Services, Munich), Nina Weckesser (Financial Services, Munich), Christian Böhme (Corporate, Munich), Dr. Armin Fary (Corporate, Munich) and Dr. Karl von Rumohr (Corporate, Munich).
The Italian law aspects were covered by Italian law firm Craca Di Carlo Guffanti Pisapia Tatozzi & Associati.
