Dechert Advises ArchiMed in the recapitalisation of Polyplus

April 29, 2020

Dechert LLP advised ArchiMed, a European investment firm specialized in the Healthcare industries, in the partial sale of Polyplus-transfection® SA (“Polyplus”), a developer of innovative and cost-effective technology used in gene and cell therapy, to Warburg Pincus, a global private equity firm focused on growth investing.

Following an auction process led by Jefferies, Dechert also assisted ArchiMed on its reinvestment, alongside Warburg Pincus, in the Polyplus group, which ArchiMed had controlled since 2016. As a result of the transaction, ArchiMed and Warburg Pincus will be equal shareholders in this secondary buyout, with the same voting rights. Management will remain significant minority shareholders.

A multi-disciplinary team from Dechert’s Paris office, in coordination with the New York and Washington, D.C. offices and led by Paris office managing partner Alain Decombe, advised ArchiMed on the following:

  • M&A aspects:
    • On the sale: Isabelle Marguet, national partner, assisted by Anne-Sophie Gallot;
    • On reinvestment: Anne-Charlotte Rivière, partner, assisted by Xavier Leroux and Johann Gandilhon;
  • Tax structuring aspects: Sabina Comis, partner, assisted by Etienne Bimbeau;
  • Competition aspects: Mélanie Thill-Tayara, partner, assisted by Marion Provost and Delphine Strohl;
  • Financing aspects: Privat Vigand, partner, assisted by Guénaelle Taroni and Pauline Keller;
