Dechert Advises Cognita Imaging, Inc. on Sale to Radiology Partners Technology and AI Services Division
Dechert advised Cognita Imaging Inc, a healthcare AI startup and leader in vision language models for radiology, on its sale to Mosaic Clinical Technologies, the technology and AI services division of Radiology Partners, a leading technology-enabled radiology practice in the United States.
The combination pairs Mosaic’s enterprise-scale operating system MosaicOS with Cognitas’ cutting-edge AI technology and expertise to accelerate development of next-generation tools that expand clinical capacity, improve diagnostic accuracy and enhance patient care.
The transaction highlights Dechert’s strength in advising AI-first startups and healthcare technology companies on strategic M&A and aligns with the firm’s expanding IP practice in AI, data and software-driven innovations.
The Dechert team that advised Cognita was led by corporate partner Stephen Leitzell and included associate Rachel Davies; junior transactional associate Jesse Castellanos; cyber senior counsel Timothy Blank and associate Daniel Murdock; labor partner Ian Downes; employee benefits partner Kevin Kay and associates Michael Binko and Brie Michaelson; tax partner David Passey and associate Ishani Kundu; and intellectual property partner Thomas Rayski and associate Spencer Joffrion.
