Stephen Nolan

Stephen Nolan advises on the formation and structuring of a variety of investment funds and fund platforms, including UCITS and alternative investment funds, as well as providing ongoing advice on general corporate, compliance, regulatory issues and marketing and distribution. He also advises on service provider documentation. Mr. Nolan has extensive experience advising AIFMs on their regulatory obligations in particular in relation to management and marketing of EU and non-EU AIFs on a cross-border basis.

Mr. Nolan also has extensive experience advising clients on the use of SPVs and 1907 limited partnerships in Irish and international fund structures.

Prior to joining Dechert, Mr. Nolan worked in the asset management industry, including a large fund administrator and more recently, a large global depositary. Mr. Nolan completed his legal training with Dechert in 2017.

  • StepStone Group on the establishment of two major private debt funds – Senior Corporate Lending Fund II and StepStone Credit Opportunities Fund I - with total combined capital commits of US$1.9 billion
  • Crescent Capital Group LP on the successful close of its third direct lending fund, Crescent Direct Lending Fund III (CDL Fund III), raising US$6 billion in investable capital including targeted leverage and separately managed accounts investing alongside the CDL Fund III.
  • A global asset manager on structuring a multi-jurisdictional CLO equity fund.
  • A U.S. asset manager on structuring a European CLO fund platform.
  • U.S. asset managers on Irish security packages for credit facilities.
  • An international reinsurance group on structuring an Irish QIAIF umbrella platform with multiple investment strategy funds – infrastructure debt, private credit and fixed income trading funds -to facilitate intra-group and third-party reinsurance transactions.
  • An international reinsurance group on rated note restructuring of its infrastructure debt and private credit investments.
  • A U.S. asset manager on launching an Art. 8 SFDR compliant UCITS Fund.
  • A large Irish AIFM on the establishment of a private debt platform to manage approx. EUR 6 billion in capital commitments.
  • A large Irish AIFM on EU cross-border management and marketing passporting applications.
  • A large Irish AIFM on its appointment as AIFM to non-EU AIFs.
